These Terms of Service ("Terms") govern your access to and use of Tokx, a token spend tracking service (the "Service"), including the Tokx website, its associated servers, and the usage agent software distributed by Tokx (collectively, the "Service").
By creating an account, installing the agent, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
Tokx helps you track the cost of your AI usage. You install an agent on your own machine, which reads your local AI coding tool session data (for example, Claude Code, Codex, OpenCode, and Crush), prices it against a published rate table, and uploads aggregated daily usage reports to the Service. The Service then displays your spend history, per-provider breakdowns, and aggregated country-level statistics.
The agent runs on your own equipment and is provided to you under a separate open-source license. The agent uploads only aggregated usage statistics (provider, model, token counts, and cost per day), not the content of your conversations.
You must be at least 13 years old, or the age of digital consent in your country of residence, to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Accounts are created by signing in with your GitHub account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
The Service issues a personal ingest key used by the agent to upload usage reports to your account. The key is stored by the Service only in hashed form, and only you can view the plaintext key.
You must keep your ingest key secret. You are responsible for any usage reports uploaded with your key. If you believe your key has been compromised, revoke it and generate a new one through the Service.

We may suspend or terminate accounts that violate these Terms, in our reasonable discretion.
You retain all rights in the data you submit to the Service. By submitting data, you grant Tokx a non-exclusive, royalty-free license to host, process, store, and display that data solely to operate and provide the Service.
Some information is visible to other users or to the public: your GitHub name and avatar, your total reported spend, and your country-level spend may be shown on the Service's public pages, including a world map showing aggregated per-country spend.
If you delete your account, we will delete the associated data as described in the Privacy Policy, subject to legal or security retention requirements.
The Service, including its software, design, and branding, is owned by Tokx and its licensors and is protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your personal or internal business purposes.
The agent software is licensed to you separately under its open-source license; nothing in these Terms restricts your rights under that license.
The Service integrates with third-party services, including GitHub for authentication and the AI providers whose usage you track. Tokx is not affiliated with, and is not endorsed by, GitHub, Anthropic, OpenAI, or any other provider. Your use of third-party services is subject to their own terms and privacy policies.
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that reported usage and cost figures are accurate or complete. Cost figures are estimates based on published rate tables and may not match your provider's billing.
To the maximum extent permitted by law, Tokx and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for all claims relating to the Service shall not exceed the greater of USD 100 or the amounts you paid to use the Service in the twelve months preceding the claim.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we determine in good faith that continued access would create legal or security risk. Sections that by their nature should survive termination (including sections 6 through 13) will survive.
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and notify you through the Service where reasonable. Your continued use of the Service after the revised Terms take effect constitutes acceptance of the changes. If you do not agree to the revised Terms, you should stop using the Service.
These Terms are governed by the laws of the jurisdiction in which the operator of the Service is domiciled, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
